These terms govern your use of ysadaki.com and the services provided by YSADAKI. By engaging us or paying an invoice, you agree to them together with the written quote or agreement for your engagement.
Who provides the services
The services are provided by YSADAKI, a digital marketing agency based in London, Ontario, Canada. In these terms, "we", "us" and "YSADAKI" mean the agency, and "you" means the person or business engaging us.
Scope, price and currency
The scope, price and currency of each service are set out in a written quote or agreement before work begins. If anything in a quote or agreement differs from these terms, the quote or agreement prevails for that engagement. Work outside the agreed scope requires a new or updated quote.
Payment and invoices
You can pay online through Stripe in several currencies, including CAD, USD and AED, or by bank transfer. Invoices are due within the period stated on the invoice. We may pause work on an engagement while an invoice remains overdue.
Currency conversion fees and any charges from your bank or card issuer are your responsibility. See our Refund & Cancellation Policy for how refunds and cancellations work.
Your responsibilities
To deliver good work, we rely on you to:
- give us accurate information, timely feedback and the access we need to your accounts and materials;
- make sure the content and materials you provide are lawful and that you have the right to use them; and
- follow the terms of any third-party platform used in the engagement.
Advertising budgets
Budgets for paid advertising on platforms such as Meta and Google are separate from our fees and are paid to those platforms. Platforms set and may change their own policies, and we are not responsible for decisions they make, such as rejecting ads or restricting accounts.
No guaranteed results
Marketing outcomes depend on many factors outside our control, including market conditions, competition, platform changes, your product and your budget. We work carefully and in good faith, but we do not guarantee specific advertising results, rankings, leads or sales.
Ownership of deliverables
Once you have paid in full, you own the final deliverables created specifically for you under the engagement. Until payment is complete, we keep ownership of the work. We retain ownership of our pre-existing tools, templates, methods and know-how, and you may use them as part of the deliverables.
Confidentiality
We treat non-public business information you share with us as confidential and use it only to deliver the engagement, except where the law requires disclosure.
Limitation of liability
To the maximum extent permitted by law, YSADAKI is not liable for indirect or consequential losses, such as lost profits or lost business, and our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement.
Cancellation and refunds
Cancellations and refunds are covered by our Refund & Cancellation Policy, which forms part of these terms.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be handled by the courts of Ontario.
Changes and contact
We may update these terms from time to time; the date at the top shows the latest version. Questions about these terms can be sent to [email protected].
